Main St. App Terms of Service
Effective Date: March 3, 2026
Welcome to Main St. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Client,” or “you”) and Main St. Marketing LLC (“Main St.,” “we,” “us,” or “our”). By accessing our website at https://mainst.marketing, using our mobile application, or subscribing to our services, you agree to be bound by these Terms.
At Main St., we are visionary partners for local, independent businesses. We provide the tools and automation that allow you to compete with national brands while staying focused on your craft.
1. Services Provided
Main St. provides marketing automation and online presence management services (the “Services”). Depending on your plan, the Services may include, without limitation:
Marketing automation: automated workflows and campaigns intended to help you manage and improve your online presence and communications.
Google Business Profile management: optimization and ongoing management of your Google Business Profile, including business information updates, posting, and reputation-related automation.
Job notes/photo management: tools that allow you to create job notes and upload, store, organize, and manage photos (including “before and after” images) for operational and marketing use.
Email marketing: creation, scheduling, and sending of email communications and campaigns, including customer follow-ups and review requests, when enabled by you.
Main St. may update, improve, or modify the Services from time to time. We may also add or remove features, or limit certain features, to comply with law or third-party platform requirements.
2. Account Registration and Responsibility
To access certain features, you must create an account and/or provide onboarding information. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for:
maintaining the confidentiality of your login credentials and any connected third-party account credentials/tokens you provide or authorize;
restricting access to your account (including by employees, contractors, or agencies you invite or allow to use your account); and
all activity that occurs under your account, including any messages, posts, campaigns, or content created, uploaded, scheduled, or sent through the Services.
Main St. works with you; however, the ultimate responsibility for the accuracy, legality, and completeness of your business information (including hours, location, licensing, pricing, offers, and claims) remains with you.
3. User-Generated Content
The Services may allow you to submit, upload, transmit, store, or otherwise make available content, including text, job notes, customer communications templates, images, and photographs (“User Content”).
Content License to Main St.: You grant Main St. a non-exclusive, royalty-free, worldwide license to host, store, cache, reproduce, process, transmit, display, and otherwise use your User Content solely (a) to provide, maintain, and improve the Services, (b) to perform requested marketing actions on your behalf (such as posting or emailing), and (c) to comply with law and enforce these Terms. You represent that you have all rights necessary to grant this license.
Customer Consent and Permissions: You are solely responsible for ensuring you have obtained all necessary rights, permissions, and legally valid consents from your customers (and any other individuals) to collect, use, upload, and share User Content (including photos and notes), and to use such content for marketing, promotional, or commercial purposes, as applicable. This includes obtaining any required written releases for “before and after” photos and any consent required under privacy, publicity, or similar laws.
No Pre-Screening: Main St. acts as a technology provider and generally does not pre-screen User Content. You remain solely responsible for User Content and any consequences of submitting or using it through the Services.
4. Gmail and Marketing Agency Authorization
Our Services may integrate with third-party platforms, including but not limited to Google (Gmail, Google Business Profile), Meta platforms (Facebook/Instagram), LinkedIn, and other channels (collectively, “Third-Party Platforms”).
Agency Authorization: By connecting, linking, or authorizing access to a Third-Party Platform account, you expressly authorize Main St. to act as your agent solely for the purpose of performing the Services you request, including sending emails, creating and posting content, publishing updates, responding to reviews, and otherwise taking marketing actions on your behalf using those Third-Party Platforms.
Your Authority: You represent and warrant that you have the authority (including administrator access and any required permissions from account owners, employers, or clients) to grant Main St. access to the connected Third-Party Platform accounts and to authorize Main St. to act on your behalf.
Compliance with Third-Party Terms and Policies: Your use of Third-Party Platforms is governed by their terms and policies, and you agree to comply with them. Main St. is not responsible for service interruptions, changes, suspensions, removals, or restrictions imposed by Third-Party Platforms, including those caused by policy changes, enforcement actions, outages, or limitations.
Google API Data Use: Where applicable, our use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
5. Payment, Subscriptions, and Recurring Billing
Payments are processed via Stripe or another payment processor we designate. By subscribing, you authorize Main St. to charge your provided payment method on a recurring basis (e.g., monthly or annually, depending on your selected plan), including applicable taxes and any agreed-upon one-time fees.
Billing Cycle and Auto-Renewal: Your subscription will automatically renew unless you cancel before the renewal date.
Plan Changes: If you upgrade or downgrade a plan, billing may change immediately or at the next renewal, as presented at the time of the change.
Late Payments; Suspension: If a payment is overdue, we may suspend or limit access to the Services (including posting, email sending, automation, and website hosting) until amounts due are paid. You remain responsible for all amounts owed.
Refunds: Unless required by law or expressly stated in a written order form or invoice, fees are non-refundable and we do not provide credits for partial billing periods or unused Services.
Third-Party Processing: Your payment processor may impose additional terms, and you agree to comply with them.
6. Prohibited Conduct
You agree not to, and not to allow anyone using your account to:
use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;
send spam or unlawful marketing communications, including SMS or email in violation of the CAN-SPAM Act, TCPA, or similar state laws;
upload, transmit, or publish any content that is defamatory, obscene, infringing, or that violates privacy, publicity, or other rights of any person;
attempt to gain unauthorized access to the Services, other accounts, or systems, or interfere with the security or integrity of the Services;
reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas from the Services, except to the extent such restriction is prohibited by law; or
use the Services to transmit malware, ransomware, or other harmful code.
7. Intellectual Property (Platform vs. Your Data)
Main St. IP: The Services (including software, designs, workflows, templates, algorithms, and any related technology, including “Avenue” invoicing tools where applicable) are owned by Main St. Marketing LLC and its licensors, and are protected by intellectual property laws. Subject to your compliance with these Terms and payment of applicable fees, Main St. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your active subscription.
Your Data: You retain ownership of your User Content and your business data you submit to the Services. Except for the license you grant in Section 3, Main St. does not acquire ownership rights in your User Content.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. To the maximum extent permitted by law, Main St. disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing:
Main St. does not warrant that the Services will be uninterrupted, error-free, or secure, or that defects will be corrected; and
Main St. does not guarantee any specific results from marketing activities (including increased revenue, rankings, lead volume, or conversion rates).
9. Limitation of Liability and Indemnification
Limitation of Liability: To the maximum extent permitted by law, in no event will Main St. Marketing LLC (or its owners, officers, employees, contractors, or agents) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.
Third-Party Platforms: Main St. is not liable for outages, policy enforcement, suspensions, removals, deliverability issues, ranking changes, or other actions taken by Third-Party Platforms (including Google, Meta, LinkedIn, email providers, and payment processors).
Liability Cap: To the maximum extent permitted by law, Main St. Marketing LLC’s total liability for any claim arising out of or related to these Terms or the Services will not exceed the amounts paid by you to Main St. for the Services in the six (6) months immediately preceding the event giving rise to the claim.
Indemnification (Hold Harmless): You agree to indemnify, defend, and hold harmless Main St. Marketing LLC and its owners, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your User Content (including job notes and photos) and any allegation that it infringes, misappropriates, or violates any right of a third party; (ii) your failure to obtain required permissions or consents from your customers or other individuals; (iii) marketing actions, messages, posts, or campaigns requested by you or carried out on your behalf through your account (including claims under CAN-SPAM, TCPA, or similar laws), except to the extent caused solely by Main St.’s willful misconduct; or (iv) your breach of these Terms.
10. Termination and Dispute Resolution
Termination by You: You may cancel your subscription in accordance with your plan settings or by contacting us. Cancellation stops future renewals, but does not relieve you of any fees accrued or payable up to the effective date of cancellation.
Termination/Suspension by Main St.: We may suspend or terminate your access to the Services (in whole or part) if you breach these Terms, if your account activity creates risk or potential legal exposure for Main St. or others, or if required by law or Third-Party Platform policies.
Effect of Termination: Upon termination, your right to access the Services ends. Sections intended to survive (including Sections 3, 7, 8, 9, 10, and 11) will survive termination.
Dispute Resolution: Before filing a claim, you agree to contact us and make a good-faith effort to resolve the dispute informally. If we can’t resolve it, any dispute will be resolved in accordance with Section 11 (Governing Law and Venue), unless the parties agree otherwise in writing.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Utah.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the service after such changes constitutes your acceptance of the new Terms.
